Overview

Welcome to Quilovat. In this document the words we, us and our mean Quilovat. Quilovat runs this shop and website, together with all the information, content, features, tools, products and services that go with it, so that you can shop a curated collection (the Services). Quilovat is powered by Shopify, which is what allows us to provide the Services to you.

The conditions set out below, along with the policies they refer to, describe what you and we can expect from one another when you use the Services. Please read them carefully. They cover important ground, including warranty disclaimers and limits on our liability.

By visiting, interacting with or buying through the Services, you agree to be bound by these Terms of Service and by our Privacy Policy.

Section 1 - Access and account

By agreeing to these Terms of Service you confirm that you are at least the age of majority in your province or territory of residence. To use the Services you may be asked for information such as your email address and your billing, payment and delivery details. You confirm that everything you give us is accurate, current and complete. Keeping your account credentials safe is your responsibility, as is any activity that takes place through your account.

Section 2 - Our products

We do our best to show every piece in the collection accurately. Even so, colour and texture can look different on your screen depending on the device you use and how it is set up, and a garment always looks a little different in a room than in a photograph. We cannot promise that the look or the quality of a piece will match your expectations exactly.

Product descriptions may change at any time, without notice, at our discretion. We may also discontinue a piece at any time and limit how many of any one item we sell to any person or region.

Section 3 - Orders

Placing an order is an offer to buy. Quilovat may accept or decline that offer. Your order is not accepted until we confirm it, and your payment must reach and clear with us before it is accepted. Please check your order before you submit it, because once an order has been accepted we may not be able to cancel or change it. If we do not accept an order, or change or cancel one, we will try to reach you using the email address, billing address or phone number you gave us when you ordered.

Returns and exchanges are handled solely in line with our Return and Refund Policy. You confirm that what you buy is for your own personal or household use, not for commercial resale or export.

Section 4 - Prices and billing

Prices can change without notice. The price that applies to your order is the one in effect when you place it, and it is confirmed in your order confirmation email.

Prices on this website and at checkout are shown and charged in Canadian dollars (CAD) and already include GST, HST, PST or QST where it applies in your province. Delivery is free on every order, with no minimum spend. The figure at checkout is the whole amount you pay: nothing further is due on delivery, and there are no handling, customs or import charges for you.

You agree to give us accurate and complete purchase, payment and account information, and to keep it up to date so that we can complete your order and reach you if we need to. Which payment methods we accept is set out in our Payment Policy.

Section 5 - Shipping and delivery

All delivery times are estimates and are not guaranteed. We are not responsible for delays caused by carriers or by events outside our control. Your order stays at our risk until it is delivered to you, so you are not left out of pocket if a parcel is lost or damaged on the way. How and where we ship is set out in our Shipping Policy.

Section 6 - Intellectual property

The Services, including all trade marks, brand names, text, images, graphics, video and audio, and the way they are designed, selected and arranged, belong to Quilovat, its affiliates or its licensors, and are protected by the intellectual property laws that apply.

These Terms allow you to use the Services for your own personal, non-commercial purposes only. You may not reproduce, distribute, modify, create derivative works from, publicly display, republish, download, store or transmit any of the material on the Services without our written consent beforehand. Any right not expressly granted here stays with Quilovat.

Section 7 - Optional tools

You may be given access to third-party tools that we neither monitor nor control. Those tools are provided as is and as available, without warranties of any kind. Using them is entirely at your own risk, and we suggest you read the terms of the provider concerned.

Section 8 - Third-party links

The Services may link to websites run by third parties. We do not examine or vet the content or accuracy of those sites, and we are not liable for any harm or loss connected to your use of them.

Section 9 - Relationship with Shopify

Quilovat is powered by Shopify, which is what allows us to provide the Services to you. Every sale and purchase in our shop is nevertheless made directly with Quilovat. By using the Services you acknowledge that Shopify is not responsible for any part of any sale between you and Quilovat, including any injury, damage or loss arising from the products and services you buy.

Section 10 - Privacy

All personal information we collect through the Services is governed by our Privacy Policy, and some of it may also be governed by Shopify's own privacy policy. By using the Services you acknowledge that you have read both.

Section 11 - Feedback

If you send us ideas, suggestions, feedback, reviews or other content, you grant us a perpetual, worldwide, sublicensable, royalty-free licence to use, reproduce, modify, publish, distribute and display it in any medium and for any purpose. You confirm that the content is yours to give and that it does not infringe anyone else's rights. We may, but are not obliged to, monitor, edit or remove feedback.

Section 12 - Errors, inaccuracies and omissions

Now and then the Services may contain a typographical error, an inaccuracy or an omission relating to a product description, a price, a shipping charge, a transit time or availability. We may correct any such error and change or update information, or cancel an order, at any time and without notice beforehand, including after you have placed your order.

Section 13 - Prohibited uses

You may use the Services for lawful purposes only. You may not use them for any unlawful or malicious purpose, to break any law or regulation that applies, to infringe our intellectual property rights or anyone else's, to harass or harm any person, to spread false or misleading information, to send unsolicited advertising or spam, to impersonate any person or organisation, to upload viruses or malicious code, to collect or track other people's personal information, or to interfere with or get around the security of the Services.

Section 14 - Termination

We may end this agreement or your access to the Services at our discretion, at any time and without notice, and you remain liable for any amount owed up to and including the date it ends. Any provision that by its nature should survive the end of this agreement continues to apply.

Section 15 - Disclaimer of warranties

The information presented through the Services is offered for general information only. Except where Quilovat says otherwise expressly, the Services and everything sold through them is provided as is and as available, without representation, warranty or condition of any kind, express or implied. Nothing in this section removes or limits any warranty, condition or guarantee you are given by the consumer protection legislation of your province or territory, and some jurisdictions do not permit the exclusion of implied warranties, so this disclaimer may not apply to you.

Section 16 - Limitation of liability

To the fullest extent the law permits, neither Quilovat nor our partners, directors, officers, employees, affiliates, agents, contractors, service providers or licensors are liable for any injury, loss or claim, or for any direct, indirect, incidental, punitive, special or consequential damages of any kind arising from your use of the Services or of anything bought through them. Nothing in these Terms limits any liability that cannot be limited by law, including under the consumer protection legislation of your province or territory.

Section 17 - Indemnification

You agree to indemnify, defend and hold harmless Quilovat, Shopify and our affiliates, partners, officers, directors, employees, agents, contractors, licensors and service providers against any loss, damage, liability or claim, including reasonable legal costs, payable to a third party and arising out of your breach of these Terms, your breach of any law or of a third party's rights, or your access to and use of the Services.

Section 18 - Severability

If any provision of these Terms of Service is found to be unlawful, void or unenforceable, it still applies to the fullest extent the law permits, and the unenforceable part is treated as removed. That finding does not affect the validity or enforceability of the remaining provisions.

Section 19 - Waiver and entire agreement

If we do not exercise or enforce a right or provision of these Terms, that is not a waiver of it. These Terms of Service, together with the policies we publish on this site, make up the whole agreement between you and us and govern your use of the Services.

Section 20 - Assignment

You may not delegate, transfer or assign these Terms or any of your rights or obligations under them without our written consent beforehand. We may transfer, assign or delegate these Terms and our own rights and obligations without your consent and without notice.

Section 21 - Governing law

These Terms of Service, and any separate agreement under which we provide you the Services, are governed by the law that applies to Smidcom, the operator of this shop. Nothing in this section deprives you of the protection of the mandatory consumer protection rules of the province or territory where you live, and you may bring proceedings in the courts of your own jurisdiction wherever the law gives you that right.

Section 22 - Changes to these Terms of Service

The current version of these Terms of Service is always on this page. We may update, change or replace any part of them by posting the update on our website. Continuing to use the Services after a change is posted means you accept it.
